Pre-sales quality commitment
1. The quality guarantee period of the contracted goods is 12 months after the acceptance and commissioning of the contracted goods. If the relevant laws, regulations, government regulations or regulatory documents and the national or industry standards stipulate that the quality assurance period exceeds the aforementioned agreed period, the quality guarantee period shall be the longer.
1.1 If the buyer fails to complete the acceptance and commission within 10 months from the date of delivery of the last batch of contracted goods due to the buyer, the warranty period of the contracted goods shall be the delivery date of the last batch of contracted goods delivered by us. 18 months from the date.
1.2 When the contracted goods are tested after final assembly, if the main technical indicators are unqualified and the products are qualified after being processed, the reasons and handling shall be included in the factory documents. The warranty period is extended by 12 months based on the above period.
2. During the warranty period of the contracted goods, if the contracted goods provided by us are found to be defective and do not meet the contract requirements, the buyer may file a claim with us. If we disagree with the claim, it shall be submitted in writing within 7 days after receiving the buyer’s claim notice, otherwise it shall be deemed as acknowledging the buyer’s claim. If we do not object to the buyer's claim or our objection is not established, we shall repair, replace, or compensate the buyer for damages as requested by the buyer. At the same time, the warranty period is extended by one year. Due to our responsibility to repair and replace defective equipment, the contracted goods will be out of service, and all losses arising therefrom will be borne by us.
3. During the warranty period, due to our responsibility to repair and replace defective equipment, the contracted goods will be out of service. The quality assurance period will be recalculated after the defect is eliminated. All losses (including but not limited to The relevant tests, experiments, expert consultation, transportation, installation and other expenses caused by the quality of the equipment shall be borne by us. If defects in the contracted cargo parts are found during the quality assurance period but do not affect the normal operation of the contracted goods, the quality assurance period of the repaired or replaced parts is recalculated.
4. The expiration of the warranty period cannot be considered as a liability for our liability for potential defects in the contracted goods that may cause damage to the contracted goods. Within 10 years after the end of the warranty period, the buyer has the right to request that the defective contracted goods and the same batch of contracted goods be repaired or replaced free of charge in the event of a potential defect in the contracted goods.
5. We shall ensure that the contracted goods are properly installed, operated and maintained properly, and operate well during their lifetime. We promise that the life of the contracted goods shall not be less than 10 years. During the life of the contracted goods, we shall notify the buyer in writing at the first time when there is a potential defect or principle failure of the contracted goods.
6. For contracted goods, we shall use correct and mature technologies and materials with operational experience; if we adopt new technologies and materials that we have not used in the past, the buyer's prior consent shall be obtained. If the new technology, new materials, new technology, etc. have not been tested and verified, the buyer has the right to request us to return or replace it, and to investigate our liability for breach of contract in accordance with this contract. The buyer’s consent does not relieve or waive our liability under this contract. We are responsible for all quality problems of the equipment and components purchased by our subcontractors.
7. If the contracted goods provided by us are defective, or due to errors in technical data, errors in the guidance of our technical personnel, resulting in the retirement of the contracted goods or the rework of the project, we shall immediately replace or compensate the buyer for the losses suffered as a result. If the contracted goods need to be replaced, we shall bear all costs incurred for the replacement of the goods at the installation site, including but not limited to the cost of the new goods, the cost of transporting the new goods to the installation site, and the cost of handling the replaced goods. The time limit for the replacement or repair of the contracted goods by us shall be implemented as agreed by both parties. If the replacement or repair work has not been completed within the time limit, the delivery shall be delayed.
8. If the buyer fails to install, operate or maintain according to the technical data, drawings, instructions provided by us, and the non-technical personnel cause damage to the contract, the buyer is responsible for repairing and replacing, but we are obligated We will provide the parts to be replaced as soon as possible. For the emergency parts required by the buyer, we shall arrange the transportation in the fastest way, and all costs shall be borne by the buyer.
9. During the period from the date of shipment of the contracted goods to the place of delivery to the end of the warranty period, if the contracted goods provided by us are found to be defective and do not comply with this contract, the buyer has the right to choose one of the following: Or several remedies:
9.1 Repair
We will repair the contracted goods that do not meet the contract (including returning to the factory for repair) so that they meet the contract requirements, and the expenses will be borne by us. Repair work should be completed within 30 days unless the buyer agrees. If the payment is not completed within the time limit, the buyer shall be paid liquidated damages according to the standard of this contract. If the goods repaired by us still do not meet the requirements of the contract, the buyer has the right to request replacement, purchase of substitute goods from third parties or termination of the contract. If the buyer cancels the contract, it shall be executed in accordance with this contract.
9.2 Replacement
We will replace the contracted goods that do not meet the contract requirements with the goods that meet the contract requirements, and the expenses will be borne by us. Replacement should be completed within 30 days unless the buyer agrees. If the payment is not completed within the time limit, the buyer shall be paid liquidated damages according to the standard of this contract. If the goods we have replaced are still not in compliance with the contract, the buyer has the right to request a return, purchase an alternative goods from a third party or terminate the contract. If the buyer cancels the contract, it shall be executed in accordance with this contract.
9.3 Return
The buyer will return the defective contracted goods to us, and we will be responsible for transporting the returned contracted goods out of the installation site. In such a case, we shall refund the purchase price of the contracted goods and bear the cost of the buyer's expenses for installation, disassembly, transportation, insurance and purchase of substitutes. The return of all funds shall be completed within 30 days from the date of the buyer's request for return. If the overdue payment is not completed, we shall pay the buyer liquidated damages according to the “return amount × 0.5‰ × number of overdue refunds”.
9.4 Price reduction
With the consent of the buyer and the seller, the price of the defective contracted goods shall be reduced, and we shall return the difference between the original contract price of the defective contracted goods and the price after the reduction to the buyer. The return of all funds shall be completed within 30 days from the date of the buyer's request for price reduction. If the overdue payment is not completed, we shall pay the buyer liquidated damages according to the “return amount × 0.5‰ × overdue refund days”.
9.5 Purchasing from third parties
The buyer has the right to purchase, from the third party, the goods that can be substituted for the substitute goods in accordance with the conditions and methods it deems appropriate, and the resulting difference, increased costs and losses are borne by us.
10. The buyer's choice of any of the above remedies will not alleviate or waive our liability for breach of contract under the contract and compensate for all losses incurred to the buyer.
11. The contracted goods should be painted for a long time to prevent corrosion and damage. If there is any paint damage, rust, etc. that will affect the appearance of the contracted goods within five years after the contracted goods are accepted and put into operation, we should handle it free of charge.
12. If there is a family defect in the contracted goods, we shall take the initiative to recall it.
13. Other conventions
13.1 We will be responsible for the lifetime maintenance of the equipment after the warranty period and the life of the contracted goods. According to the buyer's request, the system software upgrade is free of charge. For the principle failure of the contracted goods, we shall be responsible for the improvement free of charge.
13.2 The software system provided by us requires extensive applicability to the hardware. If the hardware devices matched by the current system are discontinued, we guarantee that the latest hardware devices can ensure the normal operation of the original software.
13.3 When the buyer purchases the supporting equipment related to the contracted goods, we guarantee the technical agreement and information of the relevant equipment of the interface to ensure the normal operation of the supporting equipment after it is connected to the system.
13.4 After the warranty period and the life of the equipment, we guarantee to provide the buyer with the spare parts of the required equipment, and must be issued within 5 working days, the price is the lower of the contract price and the current market price. quasi.
